Affiliate Program Terms
These Affiliate Program Terms (“Program Terms”) govern participation in the referral and affiliate programs operated by Maiahost.com, a division of Psionic-Studios, LLC (“PROVIDER”, “Maiahost”, “We”, “Us” and “Our”). They apply to every person or entity that enrolls in, applies to, or otherwise participates in a Program (“AFFILIATE”, “You” and “Your”).
Effective date: July 12, 2026.
1) Agreement and Acceptance
- These Program Terms supplement Our Terms of Service (“TOS”), which are incorporated herein by reference, including without limitation the TOS provisions on representations and warranties, limitation of liability, indemnification, waiver of jury trial, governing law and dispute resolution. In the event of a conflict between the TOS and these Program Terms with respect to the subject matter of the Programs, these Program Terms control.
- By enrolling in a Program, submitting an affiliate application, generating or sharing a Referral Link or Referral Code, or accepting any Commission or Account Credit, You agree to be bound by these Program Terms.
- You must be at least 18 years of age and capable of forming a binding contract to participate in any Program.
- Participation in a Program does not by itself make You a customer of Our hosting services, and being a customer does not by itself enroll You in any Program.
2) Definitions
- “Programs” means, collectively, the Refer-a-Friend Program (Section 3.1) and the Professional Affiliate Program (Section 3.2). References to “the Program” mean whichever Program You participate in.
- “Referral Link” means a tracking URL issued or generated through the Program that identifies You as the referrer (for example, a link containing Your referral parameter or a short link redirecting to Our website).
- “Referral Code” means the unique alphanumeric code assigned to You that a customer may enter during signup to identify You as the referrer.
- “Referred Customer” means a new customer whose order is attributed to You under Section 4.
- “Qualified Referral” means a Referred Customer whose account has satisfied the vesting conditions in Section 5.
- “Eligible Services” means the shared hosting and semi-dedicated hosting plans that We designate as commissionable on the Program pages or in Your affiliate dashboard. Unless We expressly state otherwise, Eligible Services do NOT include: VPS, cloud or dedicated servers; domain name registrations, transfers or renewals; one-time services, add-ons and upsells; third-party products resold by Us; and taxes, set-up fees, late fees or other surcharges.
- “Collected Revenue” means amounts for Eligible Services that We have actually received and retained from a Referred Customer, net of taxes, discounts, credits, refunds, chargebacks and payment disputes. Amounts invoiced but not paid, and amounts paid using promotional or account credit, are not Collected Revenue.
- “Commission” means the cash compensation payable to a Professional Affiliate under Section 6.
- “Account Credit” means non-cash service credit issued under the Refer-a-Friend Program and applied to a Maiahost hosting account as described in Section 9.
3) The Programs; Enrollment and Eligibility
3.1) Refer-a-Friend Program
- The Refer-a-Friend Program is open to current Maiahost customers whose accounts are active and in good standing (no past-due balances, no unresolved TOS or AUP violations). Enrollment is self-service through the client portal.
- Rewards under the Refer-a-Friend Program are Account Credits only. No cash compensation is payable under the Refer-a-Friend Program.
- If Your customer account is suspended, terminated or closed, Your Refer-a-Friend participation ends at the same time and any unvested or unapplied Account Credits are forfeited.
3.2) Professional Affiliate Program
- The Professional Affiliate Program is open by application only. We review every application manually and may accept or decline any application at Our sole discretion, with or without stated reason. You do not need to be a Maiahost customer to apply.
- You must provide complete, correct and genuine information in Your application and keep Your contact and payout information current at all times. Providing false information is grounds for immediate termination and forfeiture under Section 13.
- Each person or entity may maintain only one affiliate account. Operating multiple affiliate accounts, or an affiliate account under a false identity, is prohibited.
- We may issue You one or more Referral Codes and permit You to create additional codes for campaign tracking, subject to limits and naming rules We publish. All codes remain Our property and may be reclaimed, disabled or reassigned upon termination or misuse.
We reserve the right to refuse participation in, or remove any participant from, either Program at Our reasonable discretion.
4) Referral Tracking and Attribution
- Referrals are tracked using a first-party browser cookie set when a visitor arrives through Your Referral Link, and by the Referral Code a customer enters during signup. The referral cookie currently has a lifetime of ninety (90) days from the most recent qualifying click.
- Attribution is last-touch prior to signup: the most recent Referral Link click or Referral Code entered before the order determines the referrer. A Referral Code explicitly entered by the customer during signup overrides any referral cookie.
- Once a Referred Customer's account is created, its attribution is permanent. Later clicks, codes or requests do not transfer an existing customer or account to a different affiliate. We may correct attribution at Our discretion in cases of demonstrated technical error or fraud; Our correction decisions are final.
- Attribution requires that Our tracking operates normally. We are not responsible for referrals that cannot be attributed because of circumstances outside Our control, including without limitation: cookies that are blocked, deleted or expired; browser privacy features, extensions or ad blockers; the customer switching devices or browsers between click and signup; or the customer failing to enter a Referral Code. Retroactive attribution requests are not accepted.
- Our tracking systems and records are the authoritative and sole basis for determining clicks, referrals, attribution, Collected Revenue, Commissions and Account Credits.
5) Qualified Referrals and Vesting
- Only new customers qualify. A referral is rejected if the referred person or entity already has, or previously had, a Maiahost account, or if the email address or payer identity used at signup belongs to an existing or former customer.
- Self-referrals are rejected. A referral is a self-referral if the Referred Customer is You, shares Your email address or payment identity, or is otherwise an arrangement designed to earn rewards on Your own purchase or the purchase of a party acting on Your behalf.
- Ninety-day retention gate. Rewards accrue conditionally when a Referred Customer first pays for an Eligible Service, but they vest only after the Referred Customer's account completes ninety (90) consecutive days of paid, active service AND the initial payment has not been refunded, reversed or disputed. If the Referred Customer cancels, is terminated, receives a refund, or initiates a chargeback before the vesting date, the referral lapses and no Commission or Account Credit is owed.
- We may place referrals under review — for example, where signup velocity, payment signals or other indicators suggest possible abuse — and approve or reject them following review. Rewards on rejected referrals are void.
6) Commissions — Professional Affiliate Program
- Entry-tier plans. Referrals to Our entry-level shared hosting plan earn a one-time bounty in the amount published on the Program page or in Your affiliate dashboard at the time of the referral. No recurring Commission is payable for entry-tier plans.
- All other Eligible Services. Referrals to all other Eligible Services earn a recurring Commission calculated as a percentage of Collected Revenue, at the rate published in Your affiliate dashboard at the time the underlying payment is collected, or at such other rate as We have agreed with You in writing. Individual written rate agreements prevail over published defaults.
- Commission window. Recurring Commissions accrue only on Collected Revenue received during the twenty-four (24) months following the Referred Customer's first payment. After the commission window closes, no further Commissions accrue for that Referred Customer, even if they remain Our customer.
- Collected money only. Commissions are calculated exclusively on Collected Revenue as defined in Section 2. No Commission is payable on invoiced-but-unpaid amounts, free or trial periods, amounts paid with promotional or account credit, taxes or fees, or purchases of services that are not Eligible Services.
- Changes to published rates apply prospectively only, to payments collected after the change; they do not alter Commissions that have already accrued.
7) Refunds, Chargebacks and Reversals
- If a payment on which a Commission accrued is later refunded, reversed or subject to a chargeback, the corresponding Commission is reversed. If the Commission has not yet been paid out, it is deducted from Your balance. If it has already been paid out, the amount is recorded as a negative adjustment and set off against Your future balances; if no sufficient future balance arises within a reasonable period, We may invoice You for repayment.
- All rewards attributable to fraudulent, prohibited or manipulated referrals are void, whether or not previously vested or paid, and are recoverable by Us in the same manner.
8) Payouts (Professional Affiliate Program)
- Vested Commissions are paid monthly in arrears, in U.S. Dollars, via PayPal to the payout email address You maintain in Your affiliate dashboard.
- A minimum payout threshold applies, currently fifty U.S. Dollars ($50.00) unless a different threshold is published in Your dashboard or agreed in writing. Balances below the threshold are not forfeited; they roll forward to subsequent months until the threshold is reached.
- You are solely responsible for supplying and maintaining a correct, operational PayPal address capable of receiving payments. We are not responsible for payments sent to an address You supplied incorrectly, or for fees, currency conversion charges or receiving-side costs imposed by Your payment provider. Amounts We cannot deliver are held until You correct Your payout details.
- Before making any payment, We may require You to provide accurate tax documentation (for example, IRS Form W-9 for U.S. persons or the applicable Form W-8 series for non-U.S. persons) and any identity verification We reasonably request. We may withhold payouts until such documentation is received, and We may report payments and withhold taxes where required by law.
- Payout statements are deemed accepted unless You dispute them in writing within sixty (60) days of the statement or payment date, whichever is later.
9) Refer-a-Friend Account Credits
- When a Refer-a-Friend referral vests under Section 5, an Account Credit in the then-published amount is issued to You (as referrer), and an Account Credit in the then-published amount is issued to the Referred Customer.
- Account Credits are applied as an extension of paid service time on the recipient's hosting account, calculated at the pricing that account actually renews at. Where the recipient holds multiple services, We determine the account to which the credit applies in accordance with the recipient's Program settings or, absent a selection, at Our reasonable discretion.
- Account Credits have no cash value, are not redeemable or exchangeable for cash, are non-transferable, do not accrue interest, cannot be applied to domain name registrations or third-party services, and are not refunded on cancellation. Account Credits are forfeited if the recipient's account is closed or terminated before they are applied or consumed.
10) Affiliate Conduct and Prohibited Activities
You will promote Maiahost honestly, accurately and lawfully. Without limiting the foregoing, You must NOT:
- engage in self-referral or refer existing or former Maiahost customers (Section 5);
- use cookie stuffing, forced clicks, hidden iframes, pixels, pop-unders, redirects, toolbar or extension injection, or any other technique that sets or refreshes referral tracking without a genuine, intentional user click on Your Referral Link;
- send unsolicited bulk email, messages or comments (spam) containing Your Referral Link, or otherwise violate the CAN-SPAM Act, the TCPA, or any other applicable marketing, anti-spam or privacy law in any jurisdiction You target;
- bid on, or purchase search-engine or other paid advertising against, the terms “Maiahost”, “maiahost.com”, Our other trademarks, or confusingly similar variations or misspellings thereof, whether alone or in combination with other words (for example “maiahost coupon”), or use any of them in a paid ad's display URL;
- register, use or operate domain names, subdomains, social media handles, or application names that contain or are confusingly similar to Our trademarks;
- represent Yourself as Maiahost, an employee, agent or official reseller of Maiahost, or as operating an official Maiahost website; or make any guarantee, warranty or commitment on Our behalf, including uptime, pricing or refund promises beyond what We publish;
- advertise or place Referral Links on websites or media containing unlawful content, or content that infringes third-party rights, or that We reasonably consider deceptive, hateful, adult or otherwise damaging to Our brand;
- offer unauthorized rebates, cash-backs, coupon codes or other inducements that misstate Our published pricing or promotions, or present a Referral Code as a “discount code” where it provides no discount;
- generate referrals through paid or incentivized signups made solely to collect rewards, or through any coordinated scheme to manufacture Qualified Referrals.
Disclosure. You must clearly and conspicuously disclose Your material connection to Maiahost wherever You promote Us, in accordance with the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials (16 C.F.R. Part 255) and any equivalent rules that apply to You (for example, a statement that You earn a commission from purchases made through Your links).
Privacy. You are the independent controller of any personal data You collect from Your own audience, and You are solely responsible for complying with the privacy and cookie laws applicable to Your promotion (including, where applicable, the GDPR and ePrivacy rules when targeting EU/EEA or UK audiences). We do not share Referred Customers' personal information with You; Program dashboards present referrals in masked or aggregated form.
Any violation of this Section 10 may result in immediate suspension or termination, forfeiture of unvested and unpaid rewards, and recovery of amounts already paid on affected referrals, in addition to any other remedy available to Us.
11) Limited Trademark License
For the duration of Your participation, We grant You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to display Our name and logo solely to identify Yourself as a Maiahost affiliate and to promote the Eligible Services in accordance with these Program Terms and any brand guidelines We publish. All goodwill arising from Your use of Our marks inures exclusively to Us. This license terminates automatically when Your participation ends, at which point You must promptly remove Our marks and Referral Links from Your properties. No other right, title or interest in Our intellectual property is granted.
12) Relationship of the Parties; Taxes and Expenses
You and Maiahost are independent contractors. Nothing in these Program Terms creates an employment, agency, partnership, joint venture or franchise relationship, and You have no authority to bind Us or contract in Our name. You are solely responsible for all costs You incur in promoting Maiahost, and for all taxes, duties, levies and social contributions arising from amounts paid or credited to You under the Programs.
13) Term, Suspension and Termination
- Either party may terminate participation in a Program at any time, with or without cause, by written notice (email suffices). We may additionally suspend Your participation, Referral Codes, dashboards or payouts while We investigate suspected fraud or breach.
- Termination without cause. Commissions that are vested and payable as of the effective termination date will be paid in the next regular monthly payout cycle; We may waive the minimum payout threshold for this final payment at Our discretion. Referrals and Commissions that have not vested by the effective termination date lapse, and no further rewards accrue on payments We collect after that date.
- Termination for cause. If We terminate for fraud, material breach of these Program Terms, or violation of Section 10, all unpaid Commissions and unapplied Account Credits — vested or not — are forfeited, and We may recover amounts already paid on affected referrals under Section 7.
- Upon any termination You must stop distributing Your Referral Links and Codes and cease all use of Our marks. Sections 7, 10 (as to accrued obligations), 11 (final sentence), 12, 13, 15 and 16 survive termination.
14) Program Changes
- We may modify these Program Terms, the published Commission rates, bounty and credit amounts, minimum payout threshold, cookie lifetime, the list of Eligible Services, and any other Program parameter. For material changes We will provide at least fifteen (15) days' advance notice by email or through Your Program dashboard. Your continued participation after the effective date of a change constitutes acceptance of it.
- Changes operate prospectively. They do not reduce Commissions or Account Credits that have already vested, and rate changes apply only to payments collected after the change takes effect.
- We may suspend or discontinue any Program in whole or in part at any time. Discontinuation is treated as a termination without cause under Section 13 for all affected participants.
15) Disclaimer; Limitation of Liability; Indemnification
- THE PROGRAMS, INCLUDING ALL TRACKING, DASHBOARDS AND REPORTING, ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT TRACKING WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT PARTICIPATION WILL GENERATE ANY PARTICULAR VOLUME OF REFERRALS OR EARNINGS.
- THE LIMITATION-OF-LIABILITY PROVISIONS OF THE TOS APPLY TO THE PROGRAMS. WITHOUT LIMITING THEM, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU DURING THE THREE (3) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
- You agree to indemnify, defend and hold harmless Maiahost and its parent, subsidiary and affiliated companies, and each of their respective officers, directors, employees, shareholders, attorneys and agents from and against any and all claims, damages, losses, liabilities, suits, actions, demands, proceedings and expenses (including reasonable attorneys' fees) arising out of or relating to Your promotional activities, Your websites or media, Your breach of these Program Terms, or Your violation of any law or third-party right.
16) General
The TOS provisions on governing law, arbitration, waiver of jury trial, notices, severability, waiver, assignment and limitation of actions apply to these Program Terms as if set out in full herein. These Program Terms, together with the TOS and the Program parameters published on Our website or in Your Program dashboard, constitute the entire agreement between You and Us with respect to the Programs and supersede all prior discussions and understandings regarding them. You may not assign Your participation or any right to payment hereunder without Our prior written consent; We may assign these Program Terms as provided in the TOS.
